NNN Agreement: Protecting Your IP in China
Quick Definition: An NNN agreement (Non-disclosure, Non-use, Non-circumvention) is an IP protection contract designed specifically for China manufacturing. It goes beyond a standard NDA by also preventing the factory from using your design or selling directly to your customers.
Why NDAs Don't Work in China
Standard NDAs (Non-Disclosure Agreements) only cover confidentiality — they prevent the factory from sharing your information. But in China manufacturing, the bigger risks are:
- Use: The factory copies your design and sells it under their own brand.
- Circumvention: The factory contacts your customers directly and undercuts your price.
An NDA doesn't address these risks. An NNN agreement does.
The Three N's Explained

Key Elements of an Effective NNN Agreement
- Written in Chinese: The Chinese version is what matters in Chinese courts. English is for your reference only.
- Specific penalties: Include concrete financial penalties (e.g., $50,000 per breach) rather than vague "damages."
- Chinese jurisdiction: Specify a Chinese court or arbitration body (CIETAC). Foreign court judgments are nearly unenforceable in China.
- Signed by the legal entity: Ensure the Chinese company's legal representative signs, with company chop (official stamp).
When to Use an NNN Agreement
- Before sharing product designs, CAD files, or technical specifications with any factory
- When developing custom or proprietary products (not off-the-shelf catalog items)
- When your product has unique features that could be easily copied
